These Terms of Use (“Terms”) govern your access to and use of the websites and services operated by Jojo Marketplace LLC d/b/a YardWrench (the “Company,” “YardWrench,” “we,” “us,” or “our”), including www.yardwrench.pro and related domains yardwrench.net, yardwrench.info, and yardwrench.org (collectively, the “Sites”), and any features, content, or applications we offer (the “Services”).

By accessing or using the Sites or Services, you agree to these Terms. If you do not agree, please do not use the Sites or Services.

1. Changes to These Terms

We may update these Terms at any time by posting a revised version on the Sites. The “Last updated” date above shows when changes were made. Your continued use after any update means you accept the revised Terms.

2. Eligibility; Accounts

You must be at least 18 years old to use the Services.
Certain features may require an account. You agree to:

  • Provide accurate and complete information;
  • Keep your password confidential;
  • Accept responsibility for all activities under your account.

We may suspend or terminate accounts that violate these Terms.

3. Marketplace Role

YardWrench is an online marketplace connecting homeowners (“Customers”) with independent service providers (“Pros” or “Providers”).

YardWrench does not:

  • Perform services itself;
  • Employ Providers; or
  • Guarantee any work.

Each Provider is solely responsible for its services, pricing, scheduling, compliance with laws (including licensing and insurance), and customer interactions. Customers are responsible for selecting Providers and conducting due diligence.

4. Acceptable Use

You agree not to:

  • Break any law or infringe others’ rights;
  • Post unlawful, harassing, or defamatory content;
  • Interfere with or attempt unauthorized access to the Sites;
  • Use scraping, bots, or data-mining tools without permission;
  • Misrepresent your identity or submit false reviews;
  • Copy or exploit content beyond what these Terms allow.

We may remove content or suspend access for violations.

5. User Content; Reviews & Feedback

If you submit content such as reviews, photos, job descriptions, or feedback (“User Content”), you grant YardWrench a worldwide, non-exclusive, royalty-free, transferable license to use, host, display, and reproduce it solely to operate and promote the Services.

You represent that you own or have rights to the User Content and that it is truthful and lawful.
We may moderate or remove content at our discretion.

6. Third-Party Links & Tools

The Sites may include links or tools provided by third parties.
Use them at your own risk — we are not responsible for their content, privacy policies, or practices.

7. Communications

By using the Services, you consent to receive transactional communications (emails, texts, or notifications) regarding your account, jobs, or quotes.
You can manage non-essential notifications in your account settings.

8. Intellectual Property

All content, trademarks, logos, and designs on the Sites are owned by YardWrench or its licensors.
Except for limited rights to use the Services, no license is granted.

9. DMCA / Copyright

If you believe any material on our Sites infringes your copyright, please email info@yardwrench.pro with:

  1. Your signature;
  2. Identification of the copyrighted work;
  3. Location of the infringing material;
  4. Your contact information;
  5. A good-faith statement that the use is unauthorized; and
  6. A statement under penalty of perjury that your claim is accurate.

We may remove infringing content and terminate repeat offenders.

10. Disclaimers

Use of the Sites and Services is at your own risk.
All content is provided “as is” and “as available.”

YardWrench disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee:

  • Uninterrupted or error-free operation;
  • The quality, timing, legality, or outcome of any Provider’s services; or
  • That any Provider or quote will meet your expectations.

11. Limitation of Liability

To the maximum extent allowed by law, YardWrench and its affiliates are not liable for:

  • Indirect, incidental, special, or consequential damages;
  • Lost profits, data, or goodwill; or
  • Damages from your use of or inability to use the Services.

Our total liability for any claim will not exceed US $100 or the amount you paid to YardWrench in the prior 12 months, whichever is greater.
Some jurisdictions may not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

12. Indemnification

You agree to defend, indemnify, and hold harmless YardWrench, Jojo Marketplace LLC, and their personnel from any claims, damages, or expenses (including attorneys’ fees) arising from:

  • Your use of the Services;
  • Your User Content;
  • Your breach of these Terms; or
  • Your violation of any law or third-party rights.

13. Termination; Suspension

We may suspend or terminate your access at any time, with or without notice.
Upon termination, your right to use the Services ends immediately, but certain sections (IP, disclaimers, liability limits, indemnification, and dispute resolution) will survive.

14. Dispute Resolution; Arbitration; Class Waiver

a) Informal Process

Before filing a claim, you must email info@yardwrench.pro with “Dispute Notice” in the subject line and a brief description. We’ll try to resolve it within 30 days.

b) Binding Arbitration

If unresolved, disputes will be settled by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.
Venue will be in the county and state of your residence in the U.S., unless otherwise agreed.

c) Class Action Waiver

Disputes must be brought individually, not as a class or representative action.

d) Small Claims & Injunctive Relief

Either party may file an individual action in small-claims court or seek temporary injunctive relief pending arbitration.

15. Governing Law

These Terms are governed by the laws of the State of Tennessee, excluding its conflict-of-laws principles.
The Federal Arbitration Act governs the arbitration section.

16. International Use

The Services are operated from the United States.
We make no representations that they are appropriate elsewhere; users are responsible for complying with local laws.

17. Miscellaneous

These Terms represent the entire agreement between you and YardWrench.
If any provision is unenforceable, it will be limited to the minimum extent necessary, and the remainder will remain in effect.

You may not assign these Terms without our consent; we may assign them freely.
No waiver is implied by any delay or failure to enforce a provision.
No partnership, agency, or employment relationship is created by your use of the Services.
