These Provider Terms (“Provider Terms”) govern your use of the YardWrench marketplace as a service provider (“Provider,” “you,” or “your”). They are incorporated into and supplement YardWrench’s Terms of Use and Privacy Policy. If these Provider Terms conflict with the Terms of Use, these Provider Terms control for Provider-specific matters.

YardWrench,” “we,” “us,” and “our” mean Jojo Marketplace LLC d/b/a YardWrench, operator of www.yardwrench.pro and related domains yardwrench.net, yardwrench.info, and yardwrench.org (collectively, the “Sites”) and associated services and applications (the “Services”).

1) Marketplace Role; Independent Contractor

1.1 Connection platform. YardWrench is an online marketplace that connects homeowners and businesses (“Customers”) with independent Providers. We do not perform services, supervise work, or guarantee outcomes.
1.2 No employment. You are an independent contractor, not an employee, agent, franchisee, or partner of YardWrench. You control when, where, and how you work, supply your own tools, and are solely responsible for your expenses, taxes, and insurance.

2) Eligibility; Account; Verification

2.1 Eligibility. You must be at least 18 and legally able to perform services in your jurisdiction.
2.2 Account accuracy. You must provide accurate and current information (business name, contact info, service categories, service areas, pricing structure, credentials, and availability). Update promptly if anything changes.
2.3 Identity/credential checks. We may request identity, business, license, insurance, and/or background checks through third-party providers. You authorize us and our vendors to obtain and process such information, and you agree to our Privacy Policy. We may limit, suspend, or deny access if verification cannot be completed or if results are unsatisfactory.

3) Compliance, Licensing, and Insurance

3.1 Compliance. You will comply with all applicable laws, codes, and standards (e.g., licensing, permitting, OSHA/workplace safety, environmental, disposal, right-to-repair, consumer protection).
3.2 Licensing. If a job requires a license or permit, you will not accept or perform it unless you hold and maintain the required authorization.
3.3 Insurance. You are solely responsible for obtaining and maintaining appropriate insurance at your expense. We recommend at least:

  • Commercial General Liability: USD $1,000,000 per occurrence / $2,000,000 aggregate
  • Automobile Liability: as required by law
  • Workers’ Compensation: as required by law if you have employees
  • Professional Liability: for licensed trades, where appropriate

Upon request, you will provide certificates of insurance and list Jojo Marketplace LLC as a certificate holder.

4) Your Listings, Quotes, and Jobs

4.1 Listings. You may create a Provider profile, list services, service areas, and availability, and upload photos of your work. You represent that all content is truthful and that you own or have rights to use it.
4.2 Quotes/estimates. Quotes must be clear, in good faith, and reflect realistic scope, timing, and exclusions (e.g., materials, permits, haul-away). Do not bait-and-switch.
4.3 Scheduling & changes. Coordinate dates/times with the Customer through the platform where possible. Notify promptly of delays, scope changes, or access issues and obtain written confirmation for change orders.
4.4 Workmanship. You will perform services in a timely, workmanlike manner consistent with industry standards, codes, and manufacturer instructions. You alone are responsible for supervising staff/subcontractors you engage.
4.5 Photos & documentation. We may require “before/after” photos, notes, or completion confirmations to maintain quality records and support dispute resolution.

5) Reviews, Ratings, and Communications

5.1 Reviews. Customers may leave ratings and reviews. You may provide a professional, factual response; you may not post fake, incentivized, or retaliatory reviews. We may moderate or remove content that violates policy.
5.2 Communications. You agree to receive transactional emails/SMS regarding quotes, scheduling, job updates, and support. Keep communications on-platform where possible for audit purposes.
5.3 Non-discrimination. You will not refuse jobs or treat Customers unfairly based on protected characteristics under applicable law.

6) Fees, Lead Access, and Payouts (Platform Mechanics)

6.1 Lead access or booking model. YardWrench may operate on one or more models (e.g., pay-per-lead, subscription access, or success-fee per completed booking). We will disclose applicable fees in your Provider dashboard or in a separate schedule.
6.2 Charge triggers. If using a lead model, charges may apply when a Customer confirms interest or messages you. If using a success-fee model, charges may apply upon booking or completion.
6.3 Refunds/credits. We may credit or refund provider fees for clearly invalid contacts (e.g., disconnected numbers, spam/mistakes) when reported within the specified window and after automated checks. Credits are discretionary and governed by the current Provider Fee Policy.
6.4 Payouts (if routed via YardWrench). Where YardWrench facilitates payments, disbursement occurs to your linked account via a third-party processor subject to their KYC and compliance. You authorize the processor to act on your instructions. YardWrench is not a bank or money transmitter.
6.5 Taxes. You are responsible for all taxes arising from your work (income, sales/use, employment). You will collect and remit any required sales tax on your services and maintain records.

7) Cancellations, No-Shows, and Disputes

7.1 Cancellations. Post clear cancellation/reschedule rules in your profile and quotes. Communicate early and seek mutual written confirmation on changes.
7.2 No-shows. Do not accept jobs you cannot keep. Repeated no-shows may result in account limits or suspension.
7.3 Disputes with Customers. First, try to resolve directly and professionally. If unresolved, escalate through YardWrench’s support workflow with documentation (messages, photos, quotes, change orders). We may suggest mediation-style steps but are not an adjudicator.
7.4 Chargebacks. Provide timely documentation if a chargeback occurs. Excessive chargebacks may lead to holds, adjusted privileges, or removal from the platform.

8) Pro Conduct and Safety

8.1 Professional conduct. Be punctual, respectful, and transparent. No harassment, threats, or illegal conduct.
8.2 Safety. Follow OSHA/local safety standards and manufacturer instructions; use PPE; secure job sites; properly dispose of materials; and do not perform unsafe or illegal work.
8.3 Property & privacy. Do not access unauthorized areas, misuse keys/codes, or share private information. Obtain consent before recording or posting images of a Customer’s property.

9) Content, Branding, and Intellectual Property

9.1 Your content. You grant YardWrench a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and adapt your profile, photos, logos, and descriptions solely to operate, promote, and improve the Services.
9.2 YardWrench IP. YardWrench names, logos, and platform content are protected. You may reference YardWrench solely to indicate you list on our marketplace and must follow any brand guidelines.
9.3 Prohibitions. No scraping, reverse engineering, unauthorized data exports, or resale of access.

10) Non-Circumvention (Optional—Customize)

To protect marketplace integrity, for 12 months after your first contact with a Customer through YardWrench, you agree not to circumvent the platform to avoid applicable fees for similar services to the same Customer, unless (a) the Customer originally engaged you off-platform, or (b) YardWrench approves in writing.

11) Confidentiality and Data

11.1 Customer data. Use Customer information only for the quoted job and related communications. Do not sell or share Customer data with third parties for unrelated purposes.
11.2 Security. Use reasonable safeguards to protect information you handle (e.g., secure devices, limit access). Notify info@yardwrench.pro promptly of any suspected breach involving Customer data obtained via the platform.

12) Term; Suspension; Termination

We may suspend or terminate your access at any time for policy or safety violations, poor performance, fraud risk, excessive disputes, or non-responsiveness. You may close your account at any time. Outstanding obligations survive termination.

13) Representations and Warranties

You represent and warrant that:
(a) you are duly qualified to perform the services you offer;
(b) all information you provide is true and not misleading;
(c) you will comply with laws, codes, and manufacturer guidance;
(d) you hold and will maintain required licenses, permits, and insurance; and
(e) you will perform services in a safe, professional, and workmanlike manner.

14) Indemnification

You will defend, indemnify, and hold harmless Jojo Marketplace LLC (YardWrench) and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to:
(a) your services, acts, or omissions;
(b) your breach of these Provider Terms or law;
(c) your User Content;
(d) injury, death, or property damage caused by your work; or
(e) taxes, employment claims, or disputes with Customers or subcontractors.

15) Disclaimers; Limitation of Liability

15.1 Disclaimers. The Services are provided “as is” and “as available.” YardWrench makes no warranties about lead volume, conversion, earnings, or job availability.
15.2 Liability cap. To the maximum extent permitted by law, YardWrench’s total liability will not exceed US $100 or the total fees you paid to YardWrench in the past 12 months, whichever is greater. YardWrench is not liable for indirect, incidental, special, consequential, or punitive damages.

16) Dispute Resolution; Arbitration; Class Waiver

Before filing a claim, email info@yardwrench.pro with “Dispute Notice” and a short description. We’ll try to resolve it within 30 days. If unresolved, disputes will be resolved by binding arbitration under the American Arbitration Association (AAA). One arbitrator; venue is your county and state of residence unless otherwise agreed.
Class waiver: Claims must be brought individually, not as a class or representative action. Either party may bring an individual small-claims case or seek injunctive relief to protect IP or confidential information.

17) Governing Law

These Provider Terms are governed by the laws of the State of Tennessee, without regard to conflicts principles, except the Federal Arbitration Act governs arbitration.

18) Changes to These Provider Terms

We may update these Provider Terms by posting a revised version with a new “Last updated” date. Continued use after changes become effective constitutes acceptance.

19) Miscellaneous

If any provision is found unenforceable, it will be narrowed as necessary and the rest will remain in effect. You may not assign these Terms without our written consent; we may assign them freely. No waiver is valid unless in writing.
